On 9 August 2016, 3i Group plc (the "Company") was notified that on 9 August 2016 Julia Wilson, a Director and person discharging managerial responsibilities, transferred 172,417 ordinary shares of 73 19/22p each (ISIN: GB00B1YW4409) in the Company ("Shares") to Ian Wilson, a Person Closely Associated ("PCA") to her for nil cost.

The place of the above transaction was the London Stock Exchange.
