Directors' Dealings

On 19 October 2012 Ian Dinwoodie, Chief Executive Officer, exercised options over 200,000 Xaar plc ordinary shares of 10 pence each ("Ordinary Shares") at an exercise price 36 pence per Ordinary Share. The options had been granted under the Xaar plc 1997 Share Option Scheme on 6 October 2003 and vested on 6 October 2006, having met the performance criteria in full. All of the Ordinary Shares were sold on 19 October 2012 at a price of 255 pence.

The shareholding held by Mr. Dinwoodie is unaffected by the exercise and sale of these Ordinary Shares. Both before and after the exercise and sale Mr. Dinwoodie held 207,449 Ordinary Shares, representing a beneficial interest in the Company of 0.28% of the current issued share capital.
