Notification of Transaction of Directors, Persons Discharging Managerial Responsibility or Connected Persons

This notification relates to a transaction notified in accordance with Disclosure Rules 3.1.4R(1)(a).

On 5 December 2013, Brewin Dolphin Holdings PLC (LSE:BRW) received notification that:

1. Michael Williams, a Director, on 4 December 2013 exercised nil cost options over 62,217 ordinary shares of 1 pence each ("Ordinary Shares"), pursuant to the Company's Deferred Profit Share Plan 2010 award and sold the resulting shares on the same day at a price of £2.78 per share.

His resultant holdings in Ordinary Shares in the Company is 969,420 ordinary shares representing approximately 0.3542% of the total issued share capital of the Company and the total number of shares over which options are held by him are 63,199.

2. Stephen Ford, a Director, on 4 December 2013 exercised nil cost options over 51,284 ordinary shares of 1 pence each ("Ordinary Shares"), pursuant to the Company's Deferred Profit Share Plan 2010 award and sold the resulting shares on the same day at a price of £2.78 per share.

His resultant holdings in Ordinary Shares in the Company is 195,111 ordinary shares representing approximately 0.0713% of the total issued share capital of the Company and the total number of shares over which options are held by him are 292,590.
