The Evolution Group Plc ("Evolution" or the "Company"), the investment bank andretail fund management group, announces that Sanne Trustee Company UK Limited(the "Trustee") in its capacity as the trustee of The Evolution Group PlcEmployee Share Incentive Plan Trust (the "Plan") on 5 September 2006 purchased11,375 Ordinary shares of 1p each at a price of 141.75 pence per share and thatEvolution has today issued 8,075 Ordinary shares of 1p each credited as fullypaid at 141.75 pence per share to the Trustee as "matching shares" under theterms of the Plan. In addition, on 5 September 2006 the Trustee advised the Company that itpurchased 2,498 Ordinary shares of 1p each at a price of 149.75 pence per shareon 19 June 2006. These shares were acquired using funds paid to the Trustee asdividends for the Partnership and Matching shares held by the trustee under thisPlan. The number of Ordinary shares acquired by the Trustee for each of thedirectors named below was 34. The Trustee holds the shares as Nominee for the participants of the Plan.
