Notification of Transactions of Directors and Persons Discharging Managerial Responsibility (PDMR): deferred share bonus award and sale for tax

The Company confirms that EES International Trustees Limited (the Trustee) has agreed to satisfy, using shares purchased on the market, the following awards made on 11 March 2010 (taxed and vesting as detailed below) under the Deferred Share Bonus Plan at an award price of £2.907:

Terry Twigger (Director)

61,919 shares awarded on 11 March 2010 at an award price of £2.907. On 11 March 2010, the Trustee sold 25,387 shares at £2.8554 per share to cover Mr Twigger's tax liability. Of the remaining 36,532 shares, 18,266 shares will vest to Mr Twigger in March 2011 with the remaining 18,266 shares vesting in March 2012.

Mr Twigger's total shareholding in Company = 969,427 shares, 0.14% of the issued share capital.

Stephen Young (Director)

37,151 shares awarded on 11 March 2010 at an award price of £2.907. On 11 March 2010, the Trustee sold 15,232 shares at £2.8554 per share to cover Mr Young's tax liability. Of the remaining 21,919 shares, 10,959 shares will vest to Mr Young in March 2011 with the remaining 10,960 shares vesting in March 2012.

Mr Young's total shareholding in Company = 300,762 shares, 0.04% of the issued share capital.

Philip Green (Director)

28,379 shares awarded on 11 March 2010 at an award price of £2.907. On 11 March 2010, the Trustee sold 11,636 shares at £2.8554 per share to cover Mr Green's tax liability. Of the remaining 16,743 shares, 8,371 shares will vest to Mr Green in March 2011 with the remaining 8,372 shares vesting in March 2012.

Mr Green's total shareholding in Company = 495,611 shares, 0.07% of the issued share capital.

Ken Schwartz (PDMR)

35,474 shares awarded on 11 March 2010 at an award price of £2.907. On 11 March 2010, the Trustee sold 16,397 shares at £2.8554 per share to cover Mr Schwartz's tax liability. Of the remaining 19,077 shares, 9,538 shares will vest to Mr Schwartz in March 2011 with the remaining 9,539 shares vesting in March 2012.

Mr Schwartz's total shareholding in Company = 72,550 shares, 0.01% of the issued share capital.

Jim Simpkins (PDMR)

20,317 shares awarded on 11 March 2010 at an award price of £2.907. On 11 March 2010, the Trustee sold 8,940 shares at £2.8554 per share to cover Mr Simpkins's tax liability. Of the remaining 11,377 shares, 5,688 shares will vest to Mr Simpkins in March 2011 with the remaining 5,689 shares vesting in March 2012.

Mr Simpkins's total shareholding in Company = 21,028 shares, 0.003% of the issued share capital.

Phil Lewis (PDMR)

17,027 shares awarded on 11 March 2010 at an award price of £2.907. On 11 March 2010, the Trustee sold 6,982 shares at £2.8554 per share to cover Mr Lewis's tax liability. Of the remaining 10,045 shares, 5,022 shares will vest to Mr Lewis in March 2011 with the remaining 5,023 shares vesting in March 2012.

Dr Lewis's total shareholding in Company = 20,941 shares, 0.003% of the issued share capital.

David Johnson (PDMR)

19,091 shares awarded on 11 March 2010 at an award price of £2.907. On 11 March 2010, the Trustee sold 7,828 shares at £2.8554 per share to cover Mr Johnson's tax liability. Of the remaining 11,263 shares, 5,631 shares will vest to Mr Johnson in March 2011 with the remaining 5,632 shares vesting in March 2012.

Mr Johnson's total shareholding in Company = 74,454, 0.01% of the issued share capital.

Peter Huber (PDMR)

20,066 shares awarded on 11 March 2010 at an award price of £2.907. 10,033 shares will vest to Mr Huber in March 2011, with 10,033 shares vesting in March 2012.

As the beneficial interest in shares awarded to Mr Huber is retained by the Trustee until vesting, his total shareholding in Company shares remains unchanged at 0 shares, 0% of issued share capital.
