On 31st March 2008, the following unapproved options (the "Options") overordinary shares in the Company were made under the Xchanging plc 2007 ExecutiveShare Option Plan to a Person Discharging Managerial Responsibility ("PDMR") ofthe Company: Name of PDMR Number of shares granted under unapproved options Mike Margetts 19,495 No consideration was paid for the grant of the Options, which are structured asmarket value Options. The Options will normally become exercisable on the third anniversary of thedate of grant subject to the satisfaction of performance conditions set by theRemuneration Committee of the Company.
