The Company announces the following transactions in its Ordinary Shares of 2.5p each ("Shares"):

On 31 May 2016, the following Directors received Shares in the Company pursuant to awards made under the Mitie Group Deferred Bonus Plan in May 2014.

On 31 May 2016, Ruby McGregor-Smith was awarded 33,149 Shares in the Company pursuant to the Mitie Group Deferred Bonus Plan.

This announcement is made in accordance with the requirements of DTR 3.1.4.
