On 16 January 2013 3i Group plc (the "Company") was notified that on 15 January 2013 Willem Mesdag, a Director and person discharging managerial responsibilities, acquired 3,850 ordinary shares of 73 19/22p each in the Company ("Shares") at a price of 231.13p per Share. These Shares were acquired under a dividend reinvestment plan following payment of the Company's interim dividend.

The place of this transaction was the London Stock Exchange.
