Grant of Awards to Persons Discharging Managerial Responsibilities (PDMRs)
The following notifications are made under article 19 of the Market Abuse Regulation (MAR) relating to certain transactions by persons discharging managerial responsibilities (PDMRs) in the shares of the Company.
Background
Our trading statement last week explained how we are managing our cost base as part of our overall response to the COVID-19 outbreak. We will also continue to support our employees and manage our people risk. This includes the grant of share awards across our business to our normal recipient population, including to PDMRs. These share awards, including those below, have been set at a materially reduced level for all participants and reduced to 50% for Executive Directors and PDMRs in recognition of the current circumstances.
On 21st April 2020 awards over ordinary shares of £0.001 each in the capital of the Company were granted under the Equiniti Group Performance Share Plan (the PSP) in respect of 2019 financial year performance (designated as Type A and Type D Awards (together, the Awards)), to PDMRs, as follows:

PSP - Type A Awards
The level of Awards made to Executive Directors and PDMRs have been reduced from those agreed by the Remuneration Committee in March 2020 and as communicated for the Executive Directors in the 2019 Annual Report and Accounts. The Remuneration Committee agreed on 20th April 2020 to reduce these awards by 50%. Awards will be based on TSR performance against the FTSE 250 over the period 1st January 2020 to 31st December 2023, and will vest on the later of 21st April 2023 and the date of determination of the TSR performance condition. In line with our existing policy, the Remuneration Committee will review the vesting outcome following the assessment of the performance condition to ensure that Awards reflect underlying performance.
PSP Type D Awards
The PSP Type D Awards are subject to continued employment and will vest on 21st April 2023.
No consideration was paid for the grant of either Type A or Type D Awards, which are both structured as nil cost options.
PDMRs will be required to hold any ordinary shares acquired on the exercise of Type A Awards for a further two year period (after selling sufficient shares to pay the tax arising on exercise).
