Petrofac Limited19 March 2007 Notification of Interest of Person Discharging Managerial Responsibility In accordance with DR 3.1.4 R, Petrofac Limited (the "Company") has receivednotification that Robin Pinchbeck sold 640,000 ordinary shares with a nominalvalue of US$0.025 each ("shares") in the Company on 16 March 2007 on the LondonStock Exchange at a price of 401 pence per share, representing 0.19% of theCompany's issued share capital. Mr Pinchbeck continues to hold 1,280,000 sharesin the Company, which represents 0.37% of the Company's issued share capital. In addition, Mr Pinchbeck holds shares under the Company's Performance SharePlan and Deferred Bonus Share Plan although such shares have not yet vested.Separate announcements in relation to these schemes are made under the ListingRules as required. The Company's issued share capital consists of 345,434,858 shares with votingrights. The Company does not hold any shares in Treasury.
