Exercise of Awards and Total Voting Rights

The Company announces that the Directors listed below exercised their options awarded on 8 June 2018 as part of the annual bonus for the year to 31 March 2018, and having been deferred for three years, are available to be transferred to award holders.

Shares, and accrued dividend shares, awarded to Directors prior to any sale of shares required to pay the associated tax liabilities are set out below.

Application has been made for the admission of the 64,082 new Ordinary Shares to listing on the Official List and to trading on the main market of the London Stock Exchange Plc. The admission of such shares is expected to become effective on 13 September 2021 ("Admission").

At the time of writing the Company has 91,839,932 Ordinary Shares in issue. This may change from the date of submission and admission as the Company has a live buyback programme. Based on the current Ordinary Shares in issue, following Admission of the 64,082 shares, in accordance with the FCA's Disclosure and Transparency Rule 5.6.1(R) the total number of Ordinary Shares in issue will be 91,839,932 with each share carrying the right to one vote. No Ordinary Shares are held in treasury. Therefore, the total number of voting rights in the company will be 91,839,932.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in McKay Securities PLC under the FCA's Disclosure and Transparency Rules.
