Carillion PLC12 August 2005 Carillion plc Employee Share Ownership Trust Interests of Persons Discharging Managerial Responsibilities Carillion plc (the Company) was notified today, Friday 12th August 2005, thatthe Carillion plc Employee Share Ownership Trust (the Trust) on 12th August 2005transferred 629 Carillion plc ordinary shares of 50p each (less than 0.01% ofthe issued share capital) pursuant to the exercise of options under theCarillion Sharesave Scheme. The number of Carillion plc ordinary shares now held by the Trust is 3,922,938(1.828% of the issued share capital). Persons discharging managerial responsibilities have an interest in these sharesas potential beneficiaries under the said Trust.
