NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

Mr. Allan Cook CBE, a director of WS Atkins plc (the "Company"), notified the Company on 25 March 2010, that on that day in London he purchased 7,754 ordinary shares of 0.5 pence each in the Company at a price of £6.40 per share. The shares are held by Mr. Cook directly. The acquisition of 7,754 shares equated to 0.008% of the voting issued share capital.

Mr. Cook's total interest in shares following this notification is 12,348 ordinary shares, representing 0.012% of the voting issued share capital of WS Atkins plc.
