NOTIFICATION OF INTEREST PURSUANT TO DTR 5 AND DTR 3.1.2 OF THE DISCLOSURE AND TRANSPARENCY RULES

On 5 January 2012, Capital & Regional plc (the Company) received notification that Parkdev Investments (Pty) Limited had purchased 65,298 ordinary shares and now has an interest in 6,827,809 ordinary shares of 1p each in the Company. This represents 1.95% of the issued share capital of the Company.
Parkdev International Asset Managers (Pty) Limited, Pinelake International Limited and Clearance Capital (Cayman) Limited together with L Norval and N Haasbroek and their interests in trusts are all related parties. All the parties together hold 99,636,559 ordinary shares in the Company which represents 28.42% of the issued share capital. Prior to this notification, all the parties together held a total of 28.40%.

Capital & Regional plc (the Company) received notification on 5 January 2012 pursuant to DTR 3.1.2 of the Disclosure and Transparency Rules of the following Directors' interests in ordinary shares of 1p each in the Company:
