BELLWAY p.l.c. (`the Company') DIRECTORS' SHAREHOLDINGS 19 DECEMBER 2013 In accordance with the requirements of D.T.R.3.1.2R, section 793 of theCompanies Act 2006 and paragraph 26 of the Model Code, the Company was todayinformed that on 18 December 2013 in Newcastle upon Tyne, the followingDirectors were granted awards in respect of 54,174 ordinary 12.5p shares in theCompany, under the terms of the Bellway plc (2013) Performance Share Plan (anarrangement used to reward directors) as follows: E F Ayres 34,506 (0.028%) K D Adey 19,668 (0.016%) 54,174 (0.044%) The Awards, which are in respect of existing shares, are to be held in theBellway plc Employee Share Trust (1992) (the `Trust') until at least 18December 2016. The Awards are maximum awards and the degree to which they vest depends onperformance targets measured over a three year period (the `performanceperiod'). The performance period to be used commenced on 1 August 2013 and endson 31 July 2016. Following the grant of the awards the aforementioned directors have an interestin 54,174 Ordinary 12.5p shares held in the Trust under the terms of theBellway plc (2013) Performance Share Plan as follows: E F Ayres 34,506 (0.028%) K D Adey 19,668 (0.016%) 54,174 (0.044%) The other interests of the directors remain unchanged.
