John Wood Group PLC ("Company") NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS In accordance with DTR 3.1.2R, the Company has been informed that on 19February 2014, the following transactions were made by non-executive directorsof the Company: * Thomas M. Botts acquired 8,500 shares, being 0.002% of the share capital of the Company, on the London Stock Exchange at a purchase price of £7.14 per share. Following this transaction, Mr Botts has a beneficial interest in 8,500ordinary shares representing 0.002% of the issued share capital of the Company. * Mary L. Shafer-Malicki acquired 250 shares, being 0.00007% of the share capital of the Company, in an off market transaction at a purchase price of US$12.16 per share. Following this transaction, Ms Shafer-Malicki has a beneficial interest in2,250 ordinary shares representing 0.0006% of the issued share capital of theCompany. * David K. Woodward acquired 4,000 shares, being 0.001% of the share capital of the Company, on the London Stock Exchange at a purchase price of £7.22 per share.
