BELLWAY p.l.c. (the "Company") DIRECTOR'S SHAREHOLDINGS 18 MAY 2015 The Company was today informed that, under the terms of the Bellway p.l.c.(2005) Employee Share Option Scheme, Mr E F Ayres exercised an option topurchase 3,500 12.5p ordinary shares in the Company at £8.44 per share. On the same day Mr Ayres transferred 1,750 of these shares to his wife, JaneAyres, for nil consideration. Mr and Mrs Ayres each then sold 792 shares at £22.47 per share. Following these transactions Mr Ayres' beneficial interest in ordinary 12.5pshares in the Company has increased to 41,920 (0.034%) from 40,004 (0.032%).
