Notification of Transaction by Persons Discharging Managerial Responsibilities ("PDMRs")

In accordance with DTR 3.1.4R, we hereby advise that the following PDMRs acquired shares in AMEC plc on 9 January 2013, at a price of 1064.94 pence per share, in lieu of the interim dividend paid to shareholders on 2 January 2013:

Following the above transactions:

Dr Mahmoud holds 20,236 ordinary shares in the Company, which represents 0.01% of the voting rights of the Company. Dr Mahmoud also has an interest in 119,060 restricted shares awarded under the Performance Share Plan, 16,410 shares awarded under the Employee Share Trust and 798 shares awarded under the Savings Related Share Option Scheme.

Mr Naylor holds 69,278 ordinary shares in the Company, which represents 0.02% of the voting rights of the Company. Mr Naylor also has an interest in 103,357 restricted shares awarded under the Performance Share Plan and 1,335 shares awarded under the Savings Related Share Option Scheme.

Mr Pearson holds 28,132 ordinary shares in the Company, which represents 0.01% of the voting rights of the Company. Mr Pearson also has an interest in 106,009 restricted shares awarded under the Performance Share Plan.
