The Evolution Group Plc 2002 Executive Share Incentive Plan (the "Plan")

The Evolution Group PLC ("Evolution" or the "Company"), the listed investment bank and private client investment management group, announces that an award of 250,000 ordinary shares in the capital of the Company ("Ordinary Shares") was today made to Andrew Westenberger under the Plan in satisfaction of commitments made to him as part of his joining arrangements.

The award was granted for nil consideration. The exercise price is 1 pence per share. Subject to continued employment and the rules of the Plan, call rights will be granted in April 2014 whereupon they will become immediately exercisable.

Following the above transaction, Andrew Westenberger holds 822,029 shares under the Plan:
