Pursuant to Disclosure and Transparency Rule 3.1.4, Interserve Plc (the"Company") announces that it was notified on 15 March 2013 by Capita Fiduciary(in its capacity as Trustee of the Interserve Employee Benefit Trust (the"Trust")), that following the exercise of options under the InterserveSharesave Scheme 2009 on 14 March 2013, 595 ordinary shares of 10p each in theCompany had been transferred from the Trust to Mr A G Franks (PDMR) on 15 March2013.

These options were granted on 7 August 2009 at an exercise price of £1.525 pershare. The Sharesave Scheme is an all-employee HMRC-approved share scheme andthe exercise of options on maturity is not dependent upon performance criteria.

Mr Franks now has an interest in 1,464 ordinary shares of 10p each in theCompany (0.001% of the issued share capital).
