The notification set out below is provided in accordance with the requirements of the EU Market Abuse Regulation.
On 29 March 2019, Brewin Dolphin Holdings PLC granted an award over 187,206 ordinary shares to Siobhan Boylan, a person discharging managerial responsibilities, and the award was accepted by Siobhan Boylan on that date.
The award has been granted in connection with the recruitment of Siobhan Boylan and her appointment as Finance Director of Brewin Dolphin Holdings PLC, further details of which have been separately announced, and which is intended to compensate her for unvested awards granted by her former employer that have been forfeited on joining the Brewin group.
The award has been granted in reliance on Listing Rule 9.4.2(2) and in accordance with Brewin Dolphin Holdings PLC's current Directors' Remuneration Policy.
The Award is comprised of five parts, as follows:
· Part A has been granted over 38,416 shares and is due to vest on 30 April 2019;
· Part B has been granted over 63,415 shares and is due to vest on 30 April 2020;
· Part C has been granted over 45,810 shares and is due to vest on 30 April 2021;
· Part D has been granted over 7,287 shares and is due to vest on 30 April 2022; and
· Part E has been granted over 32,278 shares and is due to vest on 29 March 2022.
The vesting of each Award is subject to Siobhan Boylan's continued service.
