Notification of Transactions of Persons Discharging Managerial Responsibility ('PDMRs')
Phoenix Group Holdings ('Company') announces the following PDMR transaction regarding the allocation of the number of dividend shares set out below under the Company's Share Incentive Plan ('SIP').
On 13 May 2016 the Company paid a dividend to all shareholders of 26.7p per share. As a result, all participants within the SIP were issued dividend shares at a price of 831.5p per share based on their SIP holding as at the record date of 8 April 2016. The date of transaction was 13 May 2016. Details of the number of dividend shares issued are shown in the table below.

The Company received notification of the above transaction on 18 May 2016. The registered shareholder for these shares is Computershare Trustees Limited A/C PLGSIP.
