Investment and Grant of Awards under the
HomeServe 2008 Long Term Incentive Plan (the 'LTIP')
And Exercise of Executive Options
A number of Directors and PDMRs have been granted Performance Awards under the LTIP. No consideration was payable for the grant of the Awards. Performance Awards will vest in three year's time subject to continued employment and the achievement of stretching comparative TSR related performance criteria.

Certain Directors and PDMRs have also chosen to invest some of their 2013 net annual bonus in Shares ("Investment Shares") under the LTIP. Investment Shares were purchased on 24 June 2013 at a price of £2.776 per Share.
Following the acquisition of Investment Shares, these individuals were granted Matching Awards under the LTIP, to acquire Shares. No consideration was paid for the grant of Matching Awards (other than the acquisition of linked Investment Shares). Subject to the retention of the Investment Shares, continued employment and the achievement of stretching comparative TSR related performance criteria, the Matching Awards will vest in three year's time.

It is also announced that on 24 June 2013, Richard Harpin, a Director, exercised an option over 300,000 ordinary shares of 2.5 pence under the HomeServe plc Executive Share Option Plan.
The option was granted on 1 July 2003 at an option price of £0.94 and vested on 1 July 2006 following an assessment of the associated performance conditions (which were based on earnings per share growth).
Mr Harpin retained all of the shares and now holds 40,346,940 shares (12.2% of the issued shares).
