Warner Estate Holdings PLC02 July 2007 Warner Estate Holdings PLC ("the Company") Shareholdings of Directors and PDMRs Messrs. P C T Warner and P W Collins, Directors of the Company, each purchased36 Ordinary shares, and Mr M J Stevens, a Director of the Company, purchased 38Ordinary shares in the Company on 29 June 2007 at 668.99p each under theCompany's All Employee Share Ownership Plan ("the AESOP"). Messrs. P C T Warnerand P W Collins purchased 18 of their shares as Partnership Shares and 18 shareseach were purchased by the Company as Matching shares under the rules of theAESOP. Mr M J Stevens purchased 19 of his shares as Partnership Shares and 19shares were purchased as Matching Shares under the rules of the AESOP. Allshares were purchased on their behalf by Capita IRG Trustees Limited, theTrustee of the AESOP. The Trustee will hold the Shares in Trust for a minimumperiod of five years following the date of the purchase. The shares purchasedrepresent less than 0.001 per cent. of the Company's issued ordinary sharecapital. Messrs. P C T Warner, P W Collins and M J Stevens, Directors of the Company,were also each awarded 448 Ordinary shares in the Company on 29 June 2007 asFree Shares under the AESOP. Capita IRG Trustees Limited, the Trustee of theAESOP, will hold the Shares in Trust for a minimum period of five yearsfollowing the date of the award. The shares awarded to each Director representless than 0.001 per cent. of the Company's issued ordinary share capital.
