The Company announces that on 11 March 2011, ordinary shares in the Company were transferred to the following persons discharging managerial responsibility (PDMRs) by Computershare Nominees (Channel Islands) Limited (the trustee of the Meggitt Employee Share Ownership Trust) in relation to awards made under the Company's Deferred Share Bonus Plan on 11 March 2010 (see RNS Number 5326I).

Terence Twigger* - 18,266 shares released and retained by Mrs E Twigger.

Total shareholding: 970,812.

Percentage of issued share capital: 0.13%

Stephen Young* - 10,959 shares released and retained by Mrs C Young.

Total shareholding: 310,394.

Percentage of issued share capital: 0.04%

Philip Green - 8,371 shares released to Mr Green and sold at a price of 334.75 pence.
