3i Group PLC25 July 2007 UK Listing Authority Disclosure Rules and Transparency Rules DTR 3.1.4 R In accordance with the 3i Group plc (the "Company") circular to shareholdersdated 14 June 2007 (the "Circular"), on 23 July 2007 the Brokers' Offer wascompleted and those shareholders who had validly elected, either by Form ofElection or by default, to participate in the Brokers' Offer had their relevantB Shares purchased from them at a price of 127p per share. As a result, on 23July 2007: (i) Mr P E Yea, a Director and Person Discharging Managerial Responsibilities ("PDMR") of the Company, sold 144,691 B Shares in the Brokers' Offer; (ii) Mrs D Yea, a connected person of Mr P E Yea (a PDMR), sold 1,542 B Shares in the Brokers' Offer. The above transactions took place on the London Stock Exchange and were notifiedto the Company on 24 July 2007.
