On 15 November 2012, 3i Group plc (the "Company") was notified that on 15 November 2012 Simon Borrows, a Director and person discharging managerial responsibilities, acquired for nil cost 171,087 ordinary shares of 73 19/22p each in the Company ("Shares") on the vesting of a long-term incentive award. 

The place of the above transaction was the London Stock Exchange.
