Director/PDMR Shareholding 

Notification of Transactions of Directors, Persons Discharging Managerial Responsibility and Connected Persons under the Arrow Global Group Share Incentive Plan ("SIP")

In accordance with DTR3.1.4R(1) (a), Arrow Global Group Plc announces that on 31 December 2014, it was notified by Capita IRG Trustees Limited ( the "SIP Trustee") , that the following directors and persons discharging managerial responsibility were allocated Free Shares under the SIP on 30 December 2014 held through the SIP Trustee ("Free Shares") as set out below :

Notes

(a) A total of 90,252 Ordinary Shares of 1 pence each were transferred by the Trustee of the Arrow Global Employee Benefit Trust to the SIP Trustee on 2 January 2015 to satisfy Free Share awards under the SIP to employees of the Company who had accepted Free Shares pursuant to an invitation from the Company. The Free Shares are subject to a 3 year forfeiture period.

(b) Excluding LTIP awards of nil cost options.

(c) Includes holding of restricted shares granted under Initial Share Option Plan at the IPO.

(d) Pursuant to a regular monthly instruction, the SIP Trustee acquires Partnership Shares using the participating employees' gross salaries. The Company gives the participating employees 1 Matching Share for each Partnership Share bought on their behalf. The Matching Shares are subject to a 3 year forfeiture period.
