DIRECTORS' SHAREHOLDINGS
The Directors below on 19 May 2009 were granted the following restricted share awards over Ordinary Shares of 5p in Tesco PLC (the 'Company') under the Company's Executive Incentive Plan for which no payment is required. These shares will be held by The Tesco Employees' Share Schemes Trustees on behalf of the Directors.
The number of shares awarded was calculated using an average market price of 351.16 pence.
Each Director may authorise sufficient shares subject to the award to be sold to pay the income tax and employee national insurance due on such award.
The number of shares subject to award (net of any sold to pay tax and employer national insurance) will be increased to reflect the dividends that would have accrued on the shares which ultimately vest had they been reinvested in shares in the period between award and release. The award will vest on 19 May 2012.

The Director below on 19 May 2009 was granted a right over Ordinary Shares of 5p in the Company ('Shares') in the form of an unfunded promise to deliver Shares under the Company's Executive Incentive Plan for which no payment is required.
The number of shares awarded was calculated using an average market price of 351.16 pence.
The number of shares subject to the right will be increased to reflect the dividends that would have accrued on vested shares had they been reinvested in shares in the period between grant and release. The award will vest on 19 May 2012.
