In accordance with Paragraph 3.1.2 of the Disclosure and Transparency Rules, WS Atkins plc (the "Company") was notified on 18 January 2016 that on 15 January 2016 in London the Trustees of the Plan purchased ordinary shares of 0.5 pence each in the Company at a price of £15.002188 per share on behalf of the directors and persons discharging managerial responsibilities, as set out below:
