National Express Group PLC05 December 2005 The independent trustee of the National Express Group Employee Benefit Trust(the "Trust") notified the Company on 2 December 2005 that it had on the sameday transferred 812,070 ordinary 5p shares at £4.17 to satisfy the exercise ofoptions by employees under the Company's Savings Related Share Option Scheme. Following this transaction the Trust holds a total of 340,869 shares in theCompany in which the executive directors of the Company, Messrs P.M. White, R.O'Toole and A.C. Walker are deemed to be technically interested for CompaniesAct purposes. Messrs P.M. White and A.C. Walker were not connected with the abovetransactions. Mr R. O'Toole exercised his total option over 453 shares grantedon 17 October 2005 (less than 0.01% of the issued share capital) at an optionprice of £4.17 and retained the 453 shares. Following this transaction, Mr. R.O'Toole holds a total of 19,236 shares (0.013% of the issued share capital) andhas options over a further 342,775 shares.
