John Wood Group PLC (the "Company") NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS In accordance with DTR 3.1.2R, the Company was informed that on 19 March 2014the following transactions were completed Allister Langlands, Chairman of theCompany: * had 63,552 restricted shares, being 0.017% of the issued share capital of the Company, released to him * made off-market transfers totalling 60,000 ordinary shares in the capital of the Company, being 0.016% of the share capital of the Company, at nil consideration, to his children. After this transaction, each of Mr Langlands' children, who are connected to him for the purposes of DTR 3.1.2R, hold 68,888 shares being 0.018% of the issued share capital of the Company. * made off-market transfers totalling 3,552 ordinary shares in the capital of the Company, being 0.0009% of the share capital of the Company, at nil consideration, to Willowasset Limited. Mr Langlands ceases to have any interest in the shares transferred; Following these transactions, Mr Langlands holds 431,214 ordinary sharesrepresenting 0.115% of the issued share capital of the Company, of which391,306 shares are held directly and 39,908 restricted shares are held with abeneficial interest only.
