NOTIFICATION OF TRANSACTIONS OF DIRECTORS' DEALINGS
Oxford Instruments plc (the "Company") announces that the following directors'dealings took place:
On 17 December 2012, the following directors acquired ordinary shares of 5peach in the Company upon the exercise of options granted under the OxfordInstruments 2001 Executive Share Option Scheme "ESOS" and the OxfordInstruments plc Senior Executive Long Term Incentive Scheme "SELTIS". Inaccordance with the terms of the ESOS, all options (except for approvedoptions) were "net gain" settled as share appreciation rights by reference tothe mid market closing price of the Company's shares on 14 December 2012(1380p) and the relevant option price. A number of shares from both the ESOSand SELTIS were then sold in the market on 17 December 2012 at an average priceof 1385p, with the balance being retained by the directors, as follows:-
