On 15th March 2012, the following share awards were made to, or shares were purchased by, directors of Man Group plc.

 

PETER CLARKE:

 

Deferred Bonus Awards:

 

 - 443,413 ordinary shares awarded under the Man Group 2006 Long Term Incentive Plan. Earliest vesting date 1st January 2015 being the end of the performance period for the linked Matching Shares (mentioned below).

 

- Options granted over 2,636,163 ordinary shares under the Man Group 2010 Deferred Bonus Share and Option Plan, exercisable at a price of 156.53 pence per share (being a 10% premium to current market value) between 15th March 2015 and 14th March 2022.

 

- Conditional award over 672,221 ordinary shares under the Man Group 2010 Deferred Bonus Share and Option Plan. Earliest vesting date 15th March 2015.

 

 

Long Term Incentive Awards subject to performance criteria as set out in the respective scheme rules:

 

- 759,051 ordinary shares including Matching Shares awarded under the Man Group 2006 Long Term Incentive Plan. Earliest vesting date 15th March 2016.

 

- Options granted over 621,805 ordinary shares under the Man Group 2011 Unapproved Executive Share Option Plan, exercisable at a price of 142.30 pence per share between 15th March 2015 and 14th March 2022.

Deferred Bonus Awards:

 

- Shares acquired and designated as 'bonus investment' shares under the Man Group 2006 Long Term Incentive Plan for the purposes of the linked Matching Shares (mentioned below): 107,635 ordinary shares at a price of 142.79 pence per share. These shares are restricted until 1st January 2015 being the end of the performance period for the linked Matching Shares (mentioned below).

 

- Conditional award over 224,073 ordinary shares under the Man Group 2010 Deferred Bonus Share and Option Plan. Earliest vesting date 15th March 2015.

 

Long Term Incentive Awards subject to performance criteria as set out in the respective scheme rules:

 

- 364,120 ordinary shares including Matching Shares awarded under the Man Group 2006 Long Term Incentive Plan. Earliest vesting date 15th March 2016.

 

- Options granted over 280,092 ordinary shares under the Man Group 2011 Approved and Unapproved Executive Share Option Plan, exercisable at a price of 142.30 pence per share between 15th March 2015 and 14th March 2022.
