This announcement replaces the Director/PDMR Shareholding announcement released on 14 August 2008 at 16.50 hours under RNS number 3828B. This replacement announcement amends the number of options exercised by Mr May, the number of shares subsequently sold by him and his resultant total holdings in the Caledonia Investments plc. All other details remain unchanged.

Director/PDMR Shareholding Notification
Caledonia Investments plc ("Caledonia") announces that, on 14 August 2008, one of its directors, John Michael May, exercised options over 27,299 Caledonia ordinary 5p shares, representing 0.05% of Caledonia's issued ordinary share capital. Options over 18,666 shares were exercised at an exercise price of 945p per share and over 8,633 shares at an exercise price of 1055p per share.
Of the Caledonia shares received from the option exercise, Mr May sold 19,564 shares at a price of 1974p per share, representing 0.03% of Caledonia's issued ordinary share capital, to fund the cost of the option exercise and associated tax liabilities.
Mr May's total holdings of Caledonia's shares following the above transactions are as follows:
Beneficial - 13,985 shares = 0.02%
Options - 152,777 shares = 0.26%
Deferred bonus plan - 46,891 shares = 0.08%
This notification is made in accordance with DR 3.1.4R(1)(a) and the shares will be registered in Mr May's name.
