DIRECTOR/PDMR SHARE DEALING
Notification and public disclosure of transactions by persons discharging managerial responsibilities and persons closely associated with them.
RPS, a leading multi-sector global professional services firm, announces that on 24 February 2020 awards of shares as nil cost options were made to John Tompson, John Chubb and Halvard Kilde, all PDMR's of the Company, under the RPS Group Plc Short Term Annual Bonus Plan (the "STABP") following deferral of 50% of their bonus into shares. The number of shares to constitute these awards was calculated by reference to the average of the Company's closing share price over the period 19-21 February 2020. The options will be exercisable in three years' time subject to the rules of the STABP. Details of the awards are set out in the Notification of Dealing Forms found below.
In addition, the Company announces that on 24 February 2020 an award of Shares were made to John Tompson, John Chubb, Paul Aitken, Halvard Kilde, Doug Matthys and Chantalle Meijer, all PDMRs of the Company, under the RPS Group plc Performance Share Plan (the 'Plan'). The shares awarded will vest in three years' time subject to the rules of the Plan.
