Grant of Awards to Persons Discharging Managerial Responsibilities (PDMRs)
The following notifications are made under article 19 of the Market Abuse Regulation (MAR) relating to certain transactions by persons discharging managerial responsibilities (PDMR) in the shares of the Company.
On 28th March 2019 awards over ordinary shares of £0.001 each in the capital of the Company were granted under the Equiniti Group Deferred Annual Bonus Plan 2015 (the DABP) in respect of 2018 financial year performance and the Equiniti Group Performance Share Plan (the PSP) to persons discharging managerial responsibilities as follows:

DABP
Each award under the DABP Scheme is structured as a conditional award that shall vest on the third anniversary of the grant of the award subject to continued service and in accordance with the DABP scheme rules.
PSP
No consideration was paid for the grant of the PSP awards, which are structured as nil cost options and are subject to the satisfaction of performance conditions set by the Remuneration Committee of the Company over the period 1st January 2019 to 31st December 2022. The awards will normally vest on the later of 28th March 2022 and the date of determination of the performance conditions, and will then normally remain exercisable until the day before the tenth anniversary of the date of grant.
Once the awards have vested, the PDMRs will be required to hold the ordinary shares for a further two year period after any sales for tax arising on the vesting of the shares.
