Directorate changes
The board of bwin.party announces that Tim Bristow and Geoff Baldwin have resigned as directors of the Company. Both resignations take immediate effect.
Tim Bristow, an independent non-executive director of bwin.party, is stepping down after serving over six years with the Company. Mr Bristow joined the board of PartyGaming in May 2007 and then continued with the Company after the merger with bwin Interactive Entertainment AG in March 2011. Geoff Baldwin, a non-independent non-executive director, was appointed in July 2011 following a nomination under the terms of the relationship agreement between bwin.party, Emerald Bay Limited and Stinson Ridge Limited. Mr Baldwin has decided to step down following discussions between him and the parties that nominated him. A successor has not been nominated, although the nomination right has been retained.
Simon Duffy, Chairman of bwin.party, said: "We thank Tim and Geoff for their substantial contributions as directors over the years and we wish them well in their future endeavours. These changes are in line with the intention expressed in the Company's 2012 annual report to reduce the size of the board, whilst also ensuring we maintain our compliance with the UK Corporate Governance Code's recommendation on the balance of independent and non-independent directors. We continue to review the composition of the board and this process may result in further changes to the board later in the year."
