Directorate Changes and Issue of Equity

 

Pursuant to the announcement on 8 September 2010 regarding a £300,000 placing with Mr Mike Lord, the Board of JSJS Designs plc ("JSJS" or "the Company"), specialists in the design, development and manufacture of room automation systems, today announces the appointment of Mr Lord as Non-Executive Chairman of the board of directors of JSJS ("the Board"), with immediate effect. JSJS further announces that it has appointed Mr Simon Lane to the Board as Sales Director and Mr Frank Tiller (previously a Non-Executive Director) has assumed the responsibilities of Finance Director, and will serve as an executive member of the Board.

 

Following these changes, Howard Marshall has resigned as Non-executive Chairman. The above changes are effective immediately. The Board would like to publicly thank Howard for his expertise and his support during this formative period.

Mr Lord owns 15,000,000 ordinary shares of 0.1 pence each ("Ordinary Shares") in JSJS representing approximately 5.88 per cent. of the enlarged ordinary share capital. Mr Lane does not own any Ordinary Shares in JSJS. Further to the above appointments, the total directors' holding is 116,5000,000 Ordinary Shares representing approximately 45.6 per cent. of the enlarged share capital.

 

Issue of Equity

 

In settlement of outstanding fees, the Company has agreed to issue 2,700,000 new ordinary shares of 0.1p each ("New Ordinary Shares") to Howard Marshall. Application has been made to the London Stock Exchange plc for the New Ordinary Shares to be admitted to trading on AIM which is expected to occur on 5 November 2010.

 

In accordance with the provisions of the Disclosure and Transparency Rules of the Financial Services Authority, the Company confirms that, following this issue, its issued share capital comprises 255,233,333 Ordinary Shares of 0.1p each. All of the Ordinary Shares have equal voting rights and none of the Ordinary Shares are held in Treasury. The total number of voting rights in the Company is therefore 255,233,333.

 

This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
