RANGER DIRECT LENDING FUND PLC (or the "Company")

Board Change

The Company informs shareholders that Jonathan Schneider has confirmed to the Company that he is resigning as a director with immediate effect and that he is also resigning from his directorship of the Company's subsidiary, Ranger Direct Lending ZDP plc. Mr Schneider remained on the board following the Company's annual general meeting earlier this year in order to assist with the transition to the then newly appointed directors and now that this transition is complete, he believes it is an appropriate time to step down from the board. 

The Company does not currently intend to appoint a replacement for Mr Schneider and Brendan Hawthorne will now become chair of the Company's audit committee.

Brendan Hawthorne, as the sole remaining director of Ranger Direct Lending ZDP plc will commence a process for identifying and appointing an additional independent director to that board and further announcements concerning that board and such appointment will be made in due course. It is not intended that any of the existing Company directors will be appointed as a director of Ranger Direct Lending ZDP plc.

The remaining directors would like to thank Mr Schneider for his contribution to the Company, in particular in assisting the process of a transition to a realisation strategy following the board changes in June.
