Board Changes

 

 

Booker Group Plc (the "Company") announces the following Director changes.

Bryn Satherley, having served for ten years as Group Operations Director, will be stepping down from the Board and retiring from Booker Group with effect from 1 April 2016.

Charles Wilson, Booker Chief Executive said:

 

"Bryn has done a brilliant job for Booker Group. He has decided to retire but will remain a good friend of Booker and we wish him all the very best in the future."

 

Rather than replacing Bryn, Guy Farrant, Managing Director of Booker Wholesale, will become Chief Operating Officer with effect from 1 April 2016 and Bryn's responsibilities will be split amongst the other members of the Executive team.

 

Booker Group plc also announces the appointment of Gary Hughes as a Non-executive Director, with effect from 3 December 2015. Gary will join the Audit and Remuneration Committees on appointment.

 

Gary is a senior member of the Operational Excellence team at Apax Partners - the global private equity firm - where he also sits on the boards of two portfolio companies - Smart Technologies Inc and BMI Healthcare Limited. In addition he is a non-executive director of Premier Farnell plc, Majid Al Futtaim Retail LLP, SECC Limited and the Scottish Football Association. His previous roles include Chief Financial Officer of Gala Coral Group, Chief Executive Officer of the largest operating division of United Business Media plc and Group Finance Director of Emap plc. Gary qualified as a Chartered Accountant with Ernst & Whinney - now Ernst & Young.

 

Commenting on Gary Hughes' appointment, Booker's Chairman, Stewart Gilliland said:

 

"We are delighted to welcome Gary to the Board. His extensive experience in finance and operational roles in a number of industries will provide a valuable addition to the Company as we continue our journey to focus, drive and broaden Booker."

 

Andrew Cripps, who has been a Non-executive Director since November 2007 and chairs Booker's Audit Committee, will stand down from the Board at the end of 2016. At that time, Gary will become Chairman of the Audit Committee.

 

 

Further Information re Bryn Satherley:

 

· The following statement is made pursuant to section 430(2B) of the Companies Act 2006 in connection with Bryn Satherley.

· Bryn Satherley will step down as Group Operations Director with effect from 1 April 2016 and both his employment and appointment as a director of the Company will terminate on that date. Bryn will assist the Company with an orderly transition and handover of responsibilities, and will continue to receive his base salary and contractual benefits in full, until 1 April 2016.

· No payment for loss of office will be paid to Bryn Satherley. Bryn will be eligible to receive a bonus in respect of the year ending 27 March 2016, which will be calculated by reference to the performance targets that apply to the 2015/16 bonus plan and will be paid in the normal way in July 2016. He will not be entitled to any bonus payment in respect of the 2016/17 financial year.

· As he is retiring, Bryn Satherley will retain awards granted to him under the Booker Group Performance Share Plan 2008. These awards will vest on the normal vesting date, to the extent the performance conditions are met, and will be pro-rated to reflect the proportion of the vesting period which has elapsed on the date his employment terminates.

· These arrangements are in line with the Remuneration Policy approved by shareholders at the 2014 AGM. Details of the actual payments made will be disclosed in the relevant Directors' Remuneration Report.

 

 

Further Information re Gary Hughes:

 

· In accordance with paragraph LR 9.6.13R of the Listing Rules, Booker confirms there is no information to be disclosed in terms of LR 9.6.13R(2) to LR 9.6.13R (6) inclusive in respect of Gary Hughes. Details of his current and previous appointments to the boards of publicly quoted companies are set out below.

· At the date of this announcement, Gary has no beneficial interest in any shares of Booker Group plc.
