RSA announces Directorate changes

7 March 2013

RSA Insurance Group plc (the “Company”) announces that on 6 March 2013, Mrs Noël Harwerth and Mr John Maxwell informed the Company that they intend to retire as Non-Executive Directors of the Company with effect from the close of business on 31 March 2013. John Maxwell and Noël Harwerth were appointed to the Board in July 2003 and March 2004 respectively and were first elected by shareholders in May 2004.

Martin Scicluna, RSA Chairman, said:

“I would like to take this opportunity to thank Noël and John for their contributions and their role in helping to transform the Group over the past nine years. I am especially grateful for their work in chairing the Board Risk Committee and Group Remuneration Committee respectively. On behalf of the Group, we wish them every success in their future careers.”

These changes are part of the Board’s ongoing succession programme. The Board now consists of:
