CHANGES IN BOARD RESPONSIBILITIES

GKN plc announces the following changes in executive Board responsibilities in anticipation of Nigel Stein's appointment as Chief Executive of the Company with effect from 1 January 2012 on the retirement of the current Chief Executive, Sir Kevin Smith.

With effect from 1 October 2011, Nigel Stein will become Chief Executive Designate and relinquish his responsibilities as Chief Executive Automotive. Sir Kevin will progressively hand over Group Chief Executive responsibilities to Nigel during the following three months.

On the same date, responsibility for GKN's Automotive business will be assumed by Andrew Reynolds Smith (currently responsible for Powder Metallurgy and Land Systems), with Marcus Bryson (currently responsible for Aerospace) assuming responsibility for Land Systems.

Sir Kevin Smith said: "I am pleased to announce the above changes which will provide the executive leadership for the next stage of the Company's development."

The executive composition of the Board with effect from 1 October 2011 will be as follows:

Sir Kevin Smith - Chief Executive

Nigel Stein - Chief Executive Designate

Andrew Reynolds Smith - Executive Director, Automotive and Powder Metallurgy

Marcus Bryson - Executive Director, Aerospace and Land Systems

William Seeger - Finance Director
