Orad Hi-Tec Systems09 December 2005 Orad Hi-Tec Systems Limited (the "Company") Directors' Shareholdings and Board Changes On 8 December, 2005, Avi Sharir, CEO and director, purchased 837,000 ordinaryshares of NIS 0.01 each at a price of EUR 0.60, representing 7.8 per cent of theissued share capital of the Company. The vendor was Ormat Industries Limited ("Ormat"), a company in which Lucien Yehuda Bronicki, chairman of Orad is aninterested party. Ormat has disposed of its entire holding in the Company of1,706,422, representing 15.8 per cent of the Company. Mr Bronicki has stooddown as chairman of Orad and the Company will appoint a new Chairman in duecourse. The balance of Ormat's holding was purchased by Mr Daniel Furman, 837,000 sharesrepresenting 7.8 per cent and 32,422 shares by Mr Nir Halperin who is AviSharir's son in law. Following this purchase, Avi Sharir holds 2,143,238 ordinary shares in theCompany representing 19.9 per cent of the issued share capital.
