As stated in the prospectus published by Ocado Group plc ("Ocado") on 6 July 2010, John Lewis Partnership Pensions Trust agreed with Ocado that Patrick Lewis, a non-executive director originally appointed to the board in October 2009 by the John Lewis Partnership Pensions Trust, would step down from the Ocado board if the John Lewis Partnership Pensions Trust's holding of ordinary shares in Ocado falls below 10 per cent. of the issued ordinary share capital of Ocado.

Following the recent announcements that John Lewis Partnership Pensions Trust has sold its entire Ocado shareholding, Ocado today announces that Patrick has retired from the Ocado board with immediate effect.

Michael Grade, Chairman of Ocado, said:

"On behalf of the board, I would like to thank Patrick for his valuable contribution to Ocado. This decision is part of the ongoing process by which Ocado will achieve a board composition that is compliant with The UK Corporate Governance Code."
