RIT Capital Partners plc ("RIT") announces the following change to the Board, effective 23 January 2014:

Mike Power has been appointed to the Board as an Independent Non-Executive Director and member of the Audit and Risk Committee and the Valuation Committee.

Mike is Professor of Accounting and Director of the Centre for the Analysis of Risk and Regulation (CARR) at the London School of Economics, where he has worked since 1987. He is a Fellow of the Institute of Chartered Accountants in England and Wales, an Associate member of the UK Chartered Institute of Taxation and an Honorary Fellow of the Institute of Risk Management.

Additional disclosures relating to Mr Power, pursuant to the UKLA Listing Rules and Disclosure and Transparency Rules:

1. Mr Power is not currently a director of any other publicly quoted companies. In the past five years he served as a Director of St James's Place plc, a publicly quoted company, until December 2013.

2. There are no details requiring disclosure under paragraphs 9.6.13 R (2) to (6) of the UKLA Listing Rules.

3. Mr Power has no beneficial interest in the ordinary shares of the Company.
