MTR Corporation Ltd01 September 2006 MTR Corporation Limited (the "Company") (Incorporated in Hong Kong with limited liability) (Stock code: 66) Change of Alternate Director The Company is pleased to announce that Mr. Yung Wai-hung has been appointed tothe post of Deputy Secretary for the Environment, Transport and Works ("ET&W")(Transport) with effect from 31 August 2006 and therefore, by virtue of hisappointment, becomes an Alternate Director to the Secretary for ET&W (Dr. SarahLiao Sau-tung) with effect from the same date. The Secretary for ET&W is a non-executive Director of the Company appointed bythe Chief Executive (the "Chief Executive") of the Hong Kong SpecialAdministrative Region (the "HKSAR") pursuant to the Mass Transit RailwayOrdinance (Chapter 556 of the Laws of Hong Kong) (the "MTR Ordinance") and hasappointed the Deputy Secretary for ET&W as one of its Alternate Directors. Mr. Yung (aged 45) has not entered into any contract of service with the Companyand nor is Mr. Yung appointed for a specific term. He does not receive anyemoluments from the Company. Pursuant to the Articles of Association of theCompany, Directors appointed by the Chief Executive pursuant to the MTROrdinance are not required to retire by rotation at the annual general meetingsof the Company. Mr. Yung was not a director of any company listed on The Stock Exchange of HongKong Limited (the "Stock Exchange") during the past three years. He holds aBachelor of Arts degree and has been in the Administrative Service of the HongKong Government since 1986. Mr. Yung is not related to any Directors, senior management or substantial orcontrolling shareholders of the Company except that he holds the post of DeputySecretary for ET&W (Transport) and the Financial Secretary Incorporated, whichholds shares in the Company in trust for the Government of the HKSAR, is acontrolling shareholder of the Company. As at the date of this announcement, Mr.Yung was not interested in any shares of the Company within the meaning of PartXV of the Securities and Futures Ordinance ("SFO") as recorded in the registerrequired to be kept under section 352 of the SFO or as otherwise notified to theCompany and the Stock Exchange pursuant to the Model Code for SecuritiesTransactions by Directors of Listed Issuers. In respect of Mr. Yung's appointment, there is no other information which isdiscloseable nor is/was he involved in any of the matters required to bedisclosed pursuant to any of the requirements of the provisions of rules13.51(2)(h) to (v) of the Rules Governing the Listing of Securities on the StockExchange, and there is no other matter relating to his appointment which needsto be brought to the attention of the shareholders of the Company. The Company hereby also announces that as Mr. Thomas Chow Tat-ming ceased tohold the post of Deputy Secretary for ET&W (Transport) after 30 August 2006, healso ceased to be an Alternate Director to the Secretary for ET&W after the samedate. There is no matter relating to his ceasing to be an Alternate Director ofthe Company that needs to be brought to the attention of the Company'sshareholders.
