Director shareholdings

Intelligent Energy Holdings plc (the "Company"), the energy technology company, announces that tranche 2 of the 2013 Management Incentive Plan ("2013 MIP") was delivered on 29 June 2016 (the "Tranche 2 Delivery").

As noted in the market announcement made on 16 June 2016, tranche 2 of the 2013 MIP vested on the first anniversary of the IPO (9 July 2015). Ordinary shares in the capital of the Company had not previously been delivered to the MIP participants in relation to tranche 2 despite the vesting date having passed, due to regulatory restrictions that were unconnected to the 2013 MIP, but which had the effect of delaying the delivery of those ordinary shares. These restrictions are now no longer in place and nil cost option awards have now been made pursuant to the Company's contractual commitments under the scheme.

As a result of this Tranche 2 Delivery, John Maguire has acquired 180,135 ordinary shares of 5 pence each ("Ordinary Shares"). No Ordinary Shares were sold to cover the tax liability as John Maguire elected to make a cash payment to the Company in respect of the tax due. Following the Tranche 2 Delivery, John Maguire has increased his holding to 201,709 Ordinary Shares representing 0.1 per cent of the issued share capital of the Company.

The total number of new Ordinary Shares issued by the Company in relation to the Tranche 2 Delivery was 2,180,292. As a result of this, the Company now has a total of 204,568,243 Ordinary Shares in issue.
