Carillion PLC18 March 2005 Carillion plc Employee Share Ownership Trust - Directors' Interests Carillion plc (the Company) was notified today, 18 March 2005, that theCarillion plc Employee Share Ownership Trust (the Trust) has transferred a totalof 172,913 Carillion plc ordinary shares of 50p each (0.08% of the issued sharecapital) pursuant to the vesting of awards under the Carillion Long TermIncentive Plan. The number of Carillion plc ordinary shares now held by the Trust is 4,024,003(1.88% of the issued share capital). Directors of the Company have an interest in these shares as potentialbeneficiaries under the said Trust.
