Low & Bonar PLC04 March 2005 Low & Bonar PLC (the "Company") In accordance with the Chairman's Service Contract with the Company detailed inthe Company's announcement on 16 December 2004, Low & Bonar PLC announces that8,428 ordinary shares of 50p each in the Company ("Shares") were transferred tothe Company's Chairman, Duncan Clegg, by Hill Samuel Offshore Trust CompanyLimited as trustee of the Low & Bonar 1995 Employees' Share Ownership Plan Trust(the "Trustee") on 4 March 2005. As a result Mr Clegg's total beneficialshareholding has increased to 27,787 Shares. The transfer of 8,428 Shares to Mr Clegg represents the after-tax Share elementdue in respect of the period 1 June 2004 to 30 November 2004. Mr Clegg hasagreed to retain the Share element for the period of his Chairmanship. Following the transfer of 8,428 Shares to Mr Clegg, the Trustee holds 15,382Shares. Mr Clegg and the executive directors are for Companies Act purposesdeemed to be interested in all these 15,382 Shares.
